Julien D. Guerard

Julien D. Guerard is President of Desmond, Rand & Guerard and Chair of the firm's Transactional Group, encompassing its Business & Corporate and Real Estate practices. He advises closely held businesses, business owners, property owners and private clients on sophisticated corporate, transactional, real estate and related dispute matters.

A substantial part of Julien's practice is serving as outside corporate counsel to privately held companies and their owners. He advises on governance and ownership matters, acquisitions and sales, commercial financing, capital structures, preferred equity, member and shareholder issues, and negotiated buyouts and separations. His work frequently involves matters where legal considerations cannot be separated from the underlying economics, requiring close attention to financial statements, valuation, ownership rights, capital structure and the competing interests of the parties involved.

Real estate is an equally important part of his practice. Julien represents businesses and individuals in commercial and significant private real estate transactions, acquisitions and dispositions, financing arrangements, ownership structures, development and condominium matters, and other issues involving valuable or complex real property interests.

When transactions become disputes, Julien remains involved. He selectively handles business and real estate litigation and works closely with DRG's Litigation Group on disputes involving ownership, contracts, governance, transactions and property rights. That continuity allows him to bring both a transactional and litigation perspective to problems before they escalate, and to remain engaged when they do.

For many clients, the relationship extends well beyond any particular transaction or dispute. Julien serves as trusted private and family counsel, coordinating advice where business interests, real estate holdings, estate planning and significant personal legal matters intersect.
